TERMS OF SALE AND TERMS OF USE THESE TERMS GOVERN YOUR PURCHASE OF ANY PRODUCT OFFERED BY AMERICAN TEX-CHEM CORPORATION AS WELL AS YOUR USE OF THIS WEBSITE. PLEASE READ THESE TERMS CAREFULLY THEY CONTAIN VERY IMPORTANT INFORMATION ABOUT YOUR RIGHTS AND OBLIGATIONS AS WELL AS LIMITATIONS AND EXCLUSIONS THAT MAY APPLY TO YOU.

BY PLACING AN ORDER WITH AMERICAN TEX-CHEM CORPORATION, REGISTERING TO USE THIS WEBSITE OR OTHERWISE PROVIDING US WITH YOUR CONTACT INFORMATION THROUGH THIS WEBSITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, ACCEPTED AND HAVE AGREED TO BE BOUND BY THESE TERMS, WITHOUT LIMITATION OR QUALIFICATIONS. THESE TERMS ARE SUBJECT TO MODIFICATION WITHOUT PRIOR WRITTEN NOTICE AND AT ANY TIME AT AMERICAN TEX-CHEM CORPORATION'S SOLE DISCRETION.

1. Products. American Tex-Chem Corporation may discontinue the sale of any product at any time without notice. The product prices displayed on this site or in a catalog do not include shipping and handling or sales taxes. If and when applicable, these amounts will be added to your total invoice price.

2. Price Errors: Our goal is a 100% error-free site. We also strive to limit the number of errors in our printed catalogs. If price errors are discovered, they are promptly corrected on our systems, and the corrected price will apply to your order. We will attempt to notify you if your order includes items that were incorrectly priced. All prices are subject to change and we reserve the right to correct any errors.

3. Replacement Parts. The term "replacement" is used for all items that are direct replacements for original equipment manufacturers' products. The replacement parts are not made by the original manufacturers, but are manufactured by other companies. The trademarks and/or trade names of the original equipment manufacturers are used only to identify the original name brand equipment.

4. Orders. Orders are not binding upon American Tex-Chem Corporation until accepted. American Tex-Chem Corporation reserves the right, without prior notification, to limit the order quantity on any item and/or refuse service to any customer. Verification of information may be required prior to the acceptance of any order.

5. Payment. American Tex-Chem Corporation accepts Visa, MasterCard and American Express credit cards. Your credit account will be charged before your order is shipped for delivery.

6. Sales Tax. You are responsible for the payment of any state and local sales or use taxes that may apply to your order. The sales tax is calculated based on the full invoice price, and may include charges for shipping and handling if required by law.

7. Delivery. Currently, American Tex-Chem Corporation can only ship your order to addresses within the United States Title and risk of loss of the products pass to you upon delivery at your shipping address. If you order by 5 p.m. local time, your order will be delivered the next business day (Monday through Friday delivery days) to most locations. Other orders will be delivered in a reasonable time frame depending upon the location of the business. To find out if you qualify for Next Day delivery, call us at 1-800-650-3360. Customers who do not qualify for Next Day delivery can always request Priority Overnight service at an additional charge.

While American Tex-Chem Corporation will make every reasonable effort to ship your orders within these time frames, American Tex-Chem Corporation is not responsible or liable for any delay in receiving or completing your order that is caused by an event beyond American Tex-Chem Corporation's reasonable control. Such events may include, but are not limited to, fire, flood, accident, strike, riot, civil commotion, act of God, war or other hostilities, acts or omissions of carriers, transmitters, telecommunications, Internet Service Providers or Internet backbone providers or a failure, interruption or delay of the server or this site caused by an event outside the direct control of American Tex-Chem Corporation, including without limitation, power outages or attacks on this site such as by persons known as "hackers."

8. Shipping Charges. Orders, irrespective of the value, are generally subject to delivery charges. There is a $5 handling fee for orders of less than $50. Minor add-ons to orders placed earlier the same day may not be subject to a handling fee if the larger order has not been shipped from our facility. However, please note that all items that are marked "FOB Mill" are subject to additional delivery charges. Freight charges for "FOB Mill" orders are quoted on request. 9. WARRANTIES. ALL PRODUCTS ARE SOLD "AS IS" AND AMERICAN TEX-CHEM CORPORATION DISCLAIMS ALL WARRANTIES OF ANY KIND RELATING TO THE PRODUCTS OR USE THEREOF, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, NON-INFRINGEMENT, TITLE OR FITNESS FOR A PARTICULAR PURPOSE. SOME JURISDICTIONS MAY NOT ALLOW THE EXCLUSION OF CERTAIN IMPLIED WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS WILL NOT APPLY IN SUCH JURISDICTIONS.

10. Return Policy. We realize there are occasions when you will need to return an item to American Tex-Chem Corporation for a refund. We accept product returns up to 5 days from the date of purchase, unless the item is covered by a manufacturer's warranty, or special order (including, without limitation, custom drapes, bedspreads, signs, mattresses, phone face plates, floor-mats, coat racks), or deemed hazardous material. Please call 1-800-650-3360 before returning any of the items. Freight charges and/or restocking fee may apply for some returned items. If you have questions on your return, please call us at 1-800-650-3360.

11. Mistaken and Damaged Shipments. We will replace the order and refund any applicable shipping costs if there is an error with your order. Please note any obvious damage or shortage on the delivery confirmation at the time of delivery and the claim should be made with American Tex-Chem Corp. within 24hours of the receipt of the merchandise. To return any mistaken or damaged item, please call us at 1-800-650-3360. For damaged orders, keep the original box and all packaging materials for possible inspection by the carrier. Please make all damage or shortage claims within 3 days of delivery.

12. Limitation of Liability. TO THE MAXIMUM EXTENT ALLOWED BY LAW, AMERICAN TEX-CHEM CORPORATION SHALL NOT BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, EXEMPLARY OR INCIDENTAL DAMAGES (INCLUDING LOST OR ANTICIPATED REVENUES OR PROFITS RELATING TO THE SAME), ARISING FROM ANY CLAIM RELATING TO THESE TERMS, THIS SITE, ANY CATALOG(S), PRODUCT(S) OR ORDER(S), WHETHER SUCH CLAIM IS BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE OR STRICT LIABILITY) OR OTHERWISE. IN NO EVENT WILL THE COLLECTIVE LIABILITY OF AMERICAN TEX-CHEM CORPORATION EXCEED THE AMOUNT YOU HAVE PAID TO AMERICAN TEX-CHEM CORPORATION FOR THE APPLICABLE ORDER OR PRODUCT OUT OF WHICH LIABILITY AROSE. THESE LIMITATIONS SHALL APPLY NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY REMEDY. SOME STATES AND/OR JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

13. Severability. If any provision of these Terms are held illegal, unenforceable or in conflict with any law by a court of competent jurisdiction or arbitral tribunal, such provision shall be deemed severed from these Terms and the validity of the remainder of these Terms shall not be affected thereby.

14. Governing Law. The Federal Arbitration Act and federal arbitration law apply to these Terms. As set forth in this paragraph, either party may file a lawsuit to enjoin the infringement or other misuse of their intellectual property rights. Without waiving any remedy under these Terms, either party may further seek any interim or provisional relief that they reasonably believe is necessary to protect the rights or property of that party pending the establishment of an arbitral tribunal (or pending the arbitral tribunal's determination of the merits of the controversy). Any lawsuit between You and Us shall be brought in the federal or state courts of the State of California located in the City of San Bernardino, California, and we and you irrevocably accept and submit to the sole and exclusive jurisdiction of the aforesaid courts, generally and unconditionally.

15. MANDATORY ARIBTRATION CLAUSE AND CLASS-ACTION WAIVER
A. By making a purchasing of any of our products, registering with this website, agreeing to these Terms, providing us with your contact information through this website or otherwise using this website, you agree that, except as may otherwise be specified in these Terms, this Mandatory Arbitration Clause And Class-Action Waiver will govern any dispute of any sort that might arise between us or any of our affiliates regarding your visit and use of the Website and Services.

B. We and you agree that in the event any dispute arises, the party wishing to address the dispute must contact the other party by e-mail, setting forth the dispute in reasonable detail and informing of the remedy being sought. We may send you notices via the e-mail address or physical address you provide to us. All notices to us shall be sent to: custserv@myamtex.com. The parties shall then make a good faith effort to resolve the dispute before resorting to more formal means of resolution. In the event that the dispute is not resolved within thirty (30) days of receipt of the written notice, the party raising the dispute may proceed to mandatory arbitration as set forth below.

C. UNLESS OTHERWISE PROVIDED IN THIS AGREEMENT, ANY AND ALL DISPUTES BETWEEN YOU AND US, INCLUDING DISPUTES CONCERNING OUR MARKETING AND ADVERTISING METHODS, WILL BE RESOLVED BY BINDING ARBITRATION. YOU HEREBY AGREE TO GIVE UP YOUR RIGHT TO GO TO COURT to assert or defend your rights under these Terms, except for matters that may be taken to small claims court. Under arbitration, your rights will be determined by a neutral arbitrator, NOT a judge or jury. You agree that any dispute arising out of or relating to these Terms, including with respect to the interpretation of any provision of these Terms or other agreements between you and us, or concerning the performance or obligations of you and us or concerning any marketing or advertising methods, shall be resolved by mandatory and binding arbitration submitted to JAMS in accordance with its Commercial Arbitration Rules at the request of either us or you pursuant to the following conditions:

D. Place of Arbitration Hearings. Unless you elect to conduct the arbitration by telephone or written submission, an in-person arbitration hearing will conducted at a JAMS facility in your area or at a JAMS facility in San Bernardino, California.

E. Selection of Arbitrator shall be made pursuant to JAMS’ Streamlined Arbitration Rules & Procedures or JAMS’ Comprehensive Arbitration Rules & Procedures, depending on the amount of the claim as specified herein.

F. Conduct of Arbitration. The arbitration shall be conducted by a single neutral arbitrator under JAMS’ Streamlined Arbitration Rules & Procedures. For claims exceeding $5,000.00, the arbitration shall be conducted under JAMS’ Comprehensive Arbitration Rules & Procedures Subject to the applicable JAMS procedure, the arbitrator shall allow reasonable discovery in the forms permitted by the Federal Rules of Civil Procedure, to the extent consistent with the purpose of the arbitration. The arbitrator(s) shall have no power or authority to amend or disregard any provision of this section or any other provision of these Terms of Service, except as necessary to comply with JAMS’ Policy on Consumer Arbitrations Pursuant to Pre-Dispute Clauses Minimum Standards of Procedural Fairness. The arbitration hearing shall be commenced promptly and conducted expeditiously. If more than one day is necessary, the arbitration hearing shall be conducted on consecutive days unless otherwise agreed in writing by the parties.

G. Findings and Conclusions. The arbitrator(s) shall, after reaching judgment and award, prepare and distribute to the parties written findings of fact and conclusions of law relevant to such judgment and award and containing an opinion setting forth the reasons for the giving or denial of any award. The award of the arbitrator(s) shall be final and binding on the parties, and judgment thereon may be entered in a court of competent jurisdiction.

H. Costs and Fees. You will be subject to a filing fee, set by JAMS, to initiate the arbitration. To the extent permitted by JAMS procedures, each party shall bear its own costs and expenses and an equal share of the arbitrators' and administrative fees of arbitration, and we will remain responsible for its share of costs, expenses and fees plus any costs, expenses and fees required under JAMS procedures.

I. CLASS-ACTION WAIVER. Both you and we expressly waive any ability to maintain any class-action proceeding in any forum. Any arbitration, claim or other proceedings by or between you and us shall be conducted on an individual basis and not in any class action, mass action, or on a consolidated or representative basis. You further agree that the arbitrator shall have no authority to award class-wide relief or to combine or aggregate similar claims or unrelated transactions. You acknowledge and agree that this agreement specifically prohibits you from commencing arbitration proceedings as a representative of others. If for any reason a claim proceeds in court rather than in arbitration, each party waives any right to a jury trial. Any claim that all or part of this Class Action Waiver is unenforceable, unconscionable, void, or voidable may be determined only by a court of competent jurisdiction and not by an arbitrator. 16. CONSENT TO RECEIVE FAXES: By ordering any product from this website or providing us with your fax number, you are giving us or our service providers your prior express consent to deliver facsimiles to the fax number provided which advertise our property, goods and services. I understand that I am not required to provide you with consent to receive such facsimiles as a condition of purchasing any property, good or services, and I may avoid receiving such facsimiles by simply withholding my fax number. I may also opt out of receiving facsimiles in the future by sending an e-mail to custserv@myamtex.com or by following the opt-out instructions that may be provided on the facsimile itself. Please allow up to thirty (30) days to process any opt-out request.

17. NOTICE FOR CALIFORNIA USERS. Under California Civil Code Section 1789.3, residents of California who use the Website(s) are entitled to know that they may file grievances and complaints with: the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, in writing at 400 R Street, Suite 1080, Sacramento, California 95814, or by telephone at (916) 445-1254 or (800) 952-5210, or by email at dca@dca.ca.gov.

Under California Civil Code sections 1798.83-1798.84, California residents are also entitled to ask for a notice describing what categories of Personal Information we share with third parties or corporate affiliates for those third parties or corporate affiliates’ direct marketing purposes. That notice will identify the categories of information shared and will include a list of the third parties and affiliates with which it was shared, along with their names and addresses. If you are a California resident and would like a copy of this notice, please submit an email to custserv@myamtex.com and allow 30 days for a response. We do not currently share any Personal Information with any third parties or corporate affiliates for direct marketing purposes

18. NOTICE FOR NEW JERSEY USERS AND TRANSACTIONS Any disclaimer, limitation of liability, indemnification or damages provisions contained herein shall apply to New Jersey residents or New Jersey transactions only to the extent permitted by New Jersey law or New Jersey public policy.

19. Waivers and Amendments. The waiver by either Party of any provision of these Terms on any occasion and upon any particular circumstances shall not operate as a waiver of such provision of these Terms on any other occasion or upon any other circumstances. These Terms may be waived or amended only in writing signed by the Parties.
